Free service agreement template

Eleven clauses, two pages, written to be read.

No email address, no signup. It is a file — take it.

Most service work in Kenya runs on a WhatsApp conversation and goodwill, which is fine until it is not. This is a short agreement covering the things that actually go wrong: what the work is, what it costs, when it ends, and who owns what was said in confidence.

What is on it

  • Parties, addresses and KRA PINs, with a commencement date
  • Services — what is in scope, and a line putting everything else out of it
  • Term and renewal, with a notice period
  • Fees and payment — amount, invoicing basis, payment days, late interest
  • What the Client must do, including naming one person who can approve work
  • Standard of work and warranty
  • Confidentiality, continuing after the agreement ends
  • Data protection under the Data Protection Act, 2019
  • Termination for convenience and for breach
  • Liability cap and exclusion of indirect loss
  • Disputes and governing law — Kenya
  • Signature blocks for both parties with name, title and date

Where these agreements go wrong

Scope written too loosely

"General IT support" means whatever the client decides it means at the worst moment. List what is included and add the sentence that puts everything else outside it.

No named approver

Without one person who can say yes, you take instructions from whoever is in the room and bill for work nobody admits to authorising. Clause 4 exists for this.

Silence on payment timing

Agree the invoicing basis and the payment days in writing. "We will sort it out" becomes ninety days by default, and by then you are financing your client.

Open-ended term

An agreement with no end date and no notice period is hard for either side to leave cleanly. Both of you benefit from knowing how it ends.

No liability cap

Without one, a small contract carries unlimited exposure. A cap at fees paid over a recent period is a normal, defensible position for an SME.

Never signed

An agreement in a drafts folder protects nobody. Get both signatures, with names and titles, and keep a signed copy where you can find it.

A template is a starting point, not legal advice

Have a lawyer read it before you rely on it, especially the liability and termination clauses, and especially for anything sizeable. If you are producing agreements regularly, Protech Docs keeps your own clause library and merges the customer, value and dates in as the document renders — with renewal dates tracked so an agreement does not quietly expire while the work carries on.

Questions

Is this legally binding?

A signed agreement between two parties is generally binding, but whether this particular wording protects you in your particular situation is a question for a lawyer. Treat it as a well-structured starting point, not as legal advice. For anything sizeable, have it reviewed.

Can I change the clauses?

Yes — that is what the Word version is for. The numbering is plain and the language is deliberately simple so you can edit it without breaking anything. Just read it through after editing: clause 8 is referred to by number in clause 2.

Does it cover data protection?

There is a clause referencing the Data Protection Act, 2019, which is the right starting point for ordinary service work. If you are handling significant volumes of personal data on a client's behalf, you need a fuller data processing agreement than this.

What about a non-disclosure agreement?

Clause 6 covers confidentiality in both directions and survives the end of the agreement, which is enough for most service relationships. A standalone NDA is for conversations before any agreement exists.

Is this really free?

Yes. No email address, no signup, no watermark.
